1. Introduction

Panther Soft ("Panther Soft," "we," "us," or "our") is a software company based in Multan, Punjab, Pakistan, operating the website at panthersoft.net. These Terms of Service ("Terms") govern your access to and use of this website and of Panther Soft's digital software products, including Memora and the applications listed on our Products page (together, the "Products").

By visiting this website, downloading a Product, or completing a purchase, you agree to these Terms. If you do not agree, please do not use this website or our Products. Please also review our Privacy Policy and Refund & Cancellation Policy, which form part of these Terms.

2. Products and Services

Panther Soft provides digitally delivered software, including desktop applications, mobile applications, business/utility software, and web-based products, as well as custom software and website development services. Our current Products include business-management software (such as StockMesh, Shopaxo, and FuelTroop), an AI-powered local photo organizer (Memora), Android utilities, and custom web/software development services, as described on our Products and Services pages. Specific features, editions, and pricing for each Product are described on that Product's own page and may change over time.

3. Software Licenses

Unless a specific Product states otherwise, when you obtain a Panther Soft Product, we grant you a limited, non-exclusive, non-transferable license to install and use that Product for your own personal or internal business purposes, in accordance with any edition/tier limits described on that Product's page (for example, Memora's Free edition is limited to a set number of indexed photos, and a Memora Personal license may be activated on a limited number of devices, as described on the Memora product page).

Unless we agree otherwise in writing, you may not:

• Copy, resell, sublicense, rent, lease, or redistribute a Product or license key to a third party;
• Reverse engineer, decompile, or disassemble a Product, except to the extent applicable law expressly permits;
• Remove or alter any copyright, trademark, or other proprietary notice; or
• Use a Product to build a competing product or service.

Where a Product is offered under a separate end-user license agreement or a specific edition's own terms (for example, a free vs. paid edition), that Product-specific agreement governs alongside these Terms.

4. Accounts & Device Activation

This website does not currently require you to create an account to browse Products or use the Contact form. Some Products — such as a paid Memora license — are instead activated per device using a license key, rather than a website username and password. Where device activation is used, you are responsible for keeping your license key confidential and for all activity associated with it, and you should contact us promptly if you believe a license key has been compromised.

If Panther Soft introduces website accounts for any Product in the future, additional terms specific to those accounts (including your responsibility for login credentials) will apply and will be presented at that time.

5. Purchases and Payments

Products may be offered as one-time purchases, licenses, subscriptions, or premium/paid features within an otherwise free Product, as described on that Product's page. Pricing is displayed to you at the time of purchase and may change from time to time; the price you pay is the price shown at checkout.

Where available, payments for Panther Soft Products are processed through Paddle, our payment and billing provider. Paddle may calculate, collect, and remit applicable sales tax, VAT, or similar taxes as required by law for your location. By making a purchase, you also agree to Paddle's own applicable buyer terms.

6. Digital Delivery

Products are delivered electronically — for example, by direct download (such as the Memora installer available from the Memora page), a license key you activate within the application, or another electronic delivery method appropriate to that Product. No physical media is shipped. It is your responsibility to ensure your device meets the system requirements listed on the relevant Product page before purchasing.

7. Updates and Changes

We may release updates to a Product from time to time, including bug fixes, security updates, performance improvements, new features, or changes needed for compatibility with new operating systems. Some updates may be required to keep using a Product securely. We aim to avoid removing functionality you have already paid for, but features may evolve over time as a Product develops.

8. Intellectual Property

This website, our Products, our branding (including the Panther Soft and Memora names and logos), documentation, and related content are owned by Panther Soft or our licensors and are protected by applicable intellectual property laws. Except for the limited license described above, nothing in these Terms transfers any ownership rights to you.

9. Acceptable Use

You agree not to use this website or our Products to:

• Violate any applicable law or regulation;
• Infringe the rights of Panther Soft or any third party;
• Redistribute, pirate, or circumvent licensing/activation of a Product;
• Attempt to gain unauthorized access to our systems, another user's data, or Panther Soft's licensing infrastructure; or
• Engage in fraud, including payment fraud or abuse of our refund process.

10. Third-Party Services

Some Products integrate with or depend on third-party services (for example, Memora's optional license activation, or Paddle for payments). Those third-party services have their own terms and privacy policies, which apply in addition to these Terms. Panther Soft is not responsible for the availability or conduct of third-party services we do not operate.

11. Availability

We make reasonable efforts to keep this website and any Panther Soft-operated services (such as Memora's license activation service) available and functioning correctly, but we do not guarantee uninterrupted or error-free operation. We may suspend access for maintenance, updates, or reasons outside our reasonable control.

12. Disclaimer

Our Products and this website are provided "as is" and "as available." To the extent permitted by applicable law, we disclaim warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that a Product will be error-free or meet every requirement of your specific use case.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Panther Soft will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or business, arising out of or relating to your use of this website or our Products. Our total liability for any claim relating to a Product will not exceed the amount you actually paid for that Product in the twelve (12) months before the claim arose, except where applicable law requires a different standard.

14. Termination

We may suspend or terminate your access to a Product or its license — for example, in cases of breach of these Terms, fraudulent or abusive activity, non-payment, or where required by law. Where a license is terminated for cause, no refund is owed for the terminated period, except as required by law or described in our Refund & Cancellation Policy.

15. Changes to These Terms

We may update these Terms from time to time, for example as our Products or business practices change. We will post the updated Terms on this page with a revised "Last updated" date. Continued use of this website or a Product after an update means you accept the revised Terms.
